Summit Labs provides comprehensive digital development and consulting services, including but not limited to:

• Ongoing maintenance and support services
• Enterprise AI transformation

3. AI Technology and Service Disclaimers

Summit Labs incorporates artificial intelligence systems and technology in our service delivery. By engaging our services, you acknowledge and agree to the following:

• AI-Generated Outputs: AI systems may produce outputs that require human review and verification. We do not guarantee that AI-generated content, recommendations, or solutions are error-free, complete, or suitable for your specific use case without proper review by qualified personnel.
• Human Oversight Required: All AI-generated work should be reviewed, tested, and validated by qualified professionals before implementation in production environments or business-critical applications.
• Limitations of AI: AI systems have inherent limitations and may produce unexpected, incorrect, or biased results. We recommend thorough testing and validation of all AI-driven solutions.
• Continuous Learning: AI systems learn and evolve over time. Performance and outputs may vary and improve as systems are trained and refined.
• No Replacement for Professional Judgment: AI tools and systems are designed to augment, not replace, human expertise and professional judgment in business decision-making.

Summit Labs maintains high standards for AI implementation but cannot guarantee perfect accuracy or suitability for every application. Clients are responsible for final review, testing, and approval of all AI-generated outputs.

4. Service Tiers and Packages

We offer website design and AI consulting services:

Website Design (one-time):

• Launchpad ($1,000): Up to 3 pages, mobile-responsive, 5-day delivery
• Foundation ($3,000): Up to 7 pages, SEO, analytics, 10-day delivery
• Storefront ($5,000): E-commerce ready, product catalog, payment integration, 15-day delivery

AI Consulting (monthly):

• Base Camp ($5,000/month): Core automation, scheduling, follow-ups, customer support
• Ascent ($10,000/month): Multi-system integration, lead qualification, reporting
• Summit ($20,000+/month): Full operational overhaul, custom agents, priority support

Specific deliverables, timelines, and terms will be outlined in individual project agreements or statements of work.

5. User Responsibilities and Conduct

When using our services, you agree to:

• Provide accurate, complete, and current information
• Maintain the confidentiality of any login credentials
• Use our services only for lawful purposes and in accordance with these Terms
• Respect intellectual property rights of Summit Labs and third parties
• Not interfere with or disrupt our services or servers
• Not attempt to gain unauthorized access to any part of our services
• Provide timely feedback and approvals during project execution

6. Intellectual Property Rights

Summit Labs Property: All content, features, and functionality on our website, including but not limited to text, graphics, logos, icons, images, audio clips, and software, are the exclusive property of Summit Labs and are protected by copyright, trademark, and other intellectual property laws.

Client Work Product: Upon full payment for services, clients receive ownership of custom-developed code and content specifically created for their project, excluding any pre-existing Summit Labs intellectual property, third-party components, or general methodologies.

7. Payment Terms

• Payment terms will be specified in individual project agreements
• Generally, we require 50% payment upfront and 50% upon project completion
• Late payments may incur a 1.5% monthly service charge
• All fees are non-refundable except as expressly stated in project agreements
• Prices are subject to change with 30 days' notice

8. Project Timeline and Deliverables

Project timelines are estimates based on prompt client feedback and approval. Delays in client response, scope changes, or external dependencies may affect delivery dates. We commit to communicate any potential delays promptly and work with clients to minimize impact.

9. Limitation of Liability

To the maximum extent permitted by law, Summit Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your use or inability to use our services
• Any unauthorized access to or alteration of your data
• Any conduct or content of third parties using our services
• Any content obtained through our services

Our total liability for any claims shall not exceed the amount paid by you to Summit Labs in the twelve (12) months preceding the claim.

10. Indemnification

You agree to defend, indemnify, and hold harmless Summit Labs and its employees, contractors, agents, officers and directors from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of and access to our services or your violation of these Terms.

11. Warranty Disclaimer

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that our services will be uninterrupted, error-free, or completely secure.

12. Termination

Either party may terminate a project agreement with written notice. Upon termination, you remain responsible for payment for all services performed up to the termination date. Summit Labs reserves the right to suspend or terminate access to our services for violation of these Terms.

13. Dispute Resolution

Any disputes arising from these Terms or our services will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive any right to participate in class action lawsuits or class-wide arbitration.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of Delaware, United States, without regard to conflict of law principles. Any legal action must be brought in the federal or state courts located in Delaware.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website with a revised effective date. Your continued use of our services after such posting constitutes acceptance of the modified Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will remain in full force and effect, and the unenforceable provision will be replaced with an enforceable provision that most closely reflects the original intent.
